FORM OF AGREEMENT

NAME OF PARTIES

Singer Pakistan Ltd. Korangi Industrial Area, Karachi hereinafter referred to as the “Factory” (which expression wherever the context so admits in this Memorandum of Settlement shall mean and include its successors and assigns).

AND

Singer Industries Labour Union (Registration No. 694) Korangi, Karachi, hereinafter called the “Union” (which expression wherever the context so admits in this Memorandum of Settlement shall mean and include its successors, assigns and all categories of workmen in permanent position, represented or to be represented, employed or to be employed in the Factory).

SHORT RECITAL OF THE CASE

WHEREAS the Factory served upon the Union, as Collective Bargaining Agent, a notice dated 1st January, 2013 under Section 42(1) of the Industrial Relations (Revival and Amendment) Act, 2010 forwarding therewith a Charter of Demands (Copy enclosed hereto and marked as Annexure-A).

AND WHEREAS the Union, as Collective Bargaining Agent also served upon the Factory a notice dated 1st January, 2013 under Section 42(1) of the Industrial Relations (Revival and Amendment) Act, 2010 forwarding therewith a Charter of Demands (Copy enclosed hereto and marked as Annexure-B).

AND WHEREAS bilateral negotiations were held between the representative of the Factory and the Union on the dates as agreed upon by them and consequently an amicable settlement has been reached in full and final settlement of all the demands contained in the above Charter of Demands.

NOW THEREFORE THIS AGREEMENT WITNESSETH AS UNDER

TERM OF AGREEMENT

1. Basic Wages

Effective 1st January, 2013 the Factory agrees to allow an increase of Rs. 400/- (Rupees Four hundred only) on one time basic, in basic wages of all the permanent workmen including probationer in the employed of the Factory on the date of signing of this Agreement.

2. House Allowance

Effective 1st January, 2013 the Factory agrees to allow an increase of Rs. 160/- (Rupees one hundred sixty only) in House Allowance thereby raising the same from Rs. 1890/- to Rs. 2050/- (Rupees Two thousand and fifty only) per month to all the permanent workers including probationers.

3. Conveyance Allowance

Effective 1st January, 2013 the Factory agrees to allow an increase of Rs. 150/- (Rupees one hundred and fifty only) per month in the existing Conveyance Allowance.

All other existing terms and conditions pertaining to the eligibility etc. of Conveyance Allowance shall remain unchanged.

4. Washing Allowance

Effective 1st January, 2013 the Factory agrees that the Washing Allowance presently being given to such workmen who have been provided with the Factory’s Uniforms and have to arrange their washing shall be increased from Rs. 455/- to Rs. 605/- (Rupees Six hundred and five only) per month.

All other existing terms and conditions to the eligibility etc. of the Washing Allowance shall remain unchanged.

5. Attendance Allowance

(a) Effective 1st January, 2013 the Factory agrees that the existing Attendance Allowance shall be increased from Rs. 875/- per month to Rs. 1000/- (Rupees one thousand only) per month.

(b) The Factory agrees that no Attendance Allowance shall be deducted if a worker proceeds on, due. Privilege Leaves once in a month effective from the date of signing of this Agreement.

All other existing terms and conditions to the eligibility etc. of Attendance Allowance shall remain unchanged.

6. Meal Allowance

The Factory agrees that the existing Meal Allowance shall be increased from Rs. 150/- per month to Rs .315/- (Rupees three hundred and fifteen only) per month effective from the date of signing of this Agreement.

All other existing terms and conditions to the eligibility etc. of Meal Allowance shall remain unchanged.

7. Annual Leave

The Factory agrees to allow minimum of three days Privilege Leave at a time.

All other existing terms and conditions to the Privilege Leave shall remain unchanged.

8. Working Days

(a) The Factory agrees to reduce weekly working days on the basis of 45 weekly working hours and/or five days i.e. from Monday to Friday w.e.f. the date of signing this Agreement as follows:

Saturday & Sunday as off days

(b) In view of above the Union/Workers agreed that no existing Production Level shall be effected and remained as existing Schedule containing thirteen (13) pages being observed above weekly days.

(c) The Union also agrees and undertakes that in the event of strike, law & order and catastrophe etc. situation in the city will be off day and Management shall be authorized to require workmen to perform work on ensuing off day in place of aforesaid circumstances.

9. Productivity/Production

(a) The Union agrees and undertakes that productivity shall be increased from the date of signing of this Agreement over and above the existing production level. Provided that Standard will be revised by the Factory at its discretion in the event of change in technology, process, materials etc. takes place.

(b) The Union also agrees to ensure production of quality and minimizing wastages and scrap throughout the plant operations.

10. Time Keeping

(a) The Union/Workers agreed to observe w.e.f. following time keeping.

(b) One hour (60 minutes) from start shift shall be marked as Late-coming; over and above one hour (60 minutes) would be marked to Half-day for that day.

(c) The Union agrees that workers who discharge their duties, in the factory, less than 41/2 hour (270 minutes) shall marked as absent for that day.

(d) The Union further agrees that workmen who leave Factory for personal work shall be marked half-day on that day.

11. Refreshment Allowance

The Factory agrees that a worker required overtime at least hours in the Factory shall be paid Rs. 100/- per day additionally effective from the date of signing of this Agreement.

12. Daughter Marriage Gift

The Factory agrees to give one (Standard Model No. 150-H or its equivalent with accessories and carrying case) in the event of a worker’s daughter marriage as a gift at the sole discretion of Management effective from the date of signing of this Agreement.

13. Retirement Benefit

The Factory agrees to give one available product with accessories up to Rs. 12,000/- instead of Singer Sewing Machine (Standard Model No. 15-KSV or its equivalent with accessories and carrying case) to those permanent workers who retire from the Company’ services on attaining the age of retirement as determined by the Company effective from the date of signing of this Agreement.

14. Funeral Expenses

The Factory agrees to increase the existing payment of Rs. 6500/- towards funeral expenses to Rs. 15000/- (Rupees fifteen thousand only) in the event of death of a worker during this service with the factory.

(d) The Parties hereby agree that all such existing terms and conditions which have not been modified, altered or covered by this Agreement shall continue to be binding and operative.

(e) The Parties hereby further agree that all such existing terms and conditions regarding payment of various allowances/benefits provided under this Agreement and which have not been specifically mentioned and/or modified in this Agreement shall continue to remain unchanged.

(f) In consideration of the financial and non-financial benefits granted by the factory under this Agreement, the Union hereby further agrees and undertakes:

(i) Not to raise any financial demands or pursue directly or indirectly during the period of operation of this Agreement, any demand or dispute involving financial burden on the Factory and also not to raise any demand whether covered by this Agreement or the Charter of Demands or any other fresh demand whatsoever during the operation of this Agreement.

(ii) Not to strike work or to instigate strike or go slow or lower production by any means and ensure that the workers do not indulge themselves in any activity which may in any way adversely affect the production of the Factory or disturb the industrial peace.

(iii) To maintain industrial peace, to abide by the Agreement for the operative period hereinafter provided, to cooperate fully with the Factory in matters of discipline, good conduct and to reduce absenteeism and improve productivity and quality.

(g) It is the essence of this Agreement that the increases given hereinabove have been granted to the workers due to inflation and the rise in the Cost of Living.

(h) That this Agreement is in full and final Agreement of all the demands including those contained in the Charter of Demands as per Annexure (A & B) as enclosed herewith.

(i) The Factory agrees that (100 days basic wages amount) shall be paid before 30th June on the existing terms and conditions.

(j) The Factory agrees to pay Leave Fare Assistance before 30th November on the existing terms and conditions.

17. Duration of Agreement

The Parties hereby agree that this Agreement will come in to force w.e.f. the date of its signing and will remain operative and binding upon the parties for a period of two years commencing from 1st January, 2013 to 31st December, 2014 and shall continue to be binding and operative even after the expiry of the aforesaid period until the expiry of two months from the date when either party informs the other party of its intension to be no longer bound by this Agreement.

18. Scope and Application

(a) The Parties hereby agree that the benefits provided under this Agreement will be applicable to those permanent workers only who are in the employment of the Factory on the date of signing of this Agreement

(b) The Parties hereby also agree that the monetary benefits provided under this Agreement shall be effective from the dates as mentioned hereinabove for those permanent workers only who are in the employment of the Factory on the date of signing of this Agreement.
